Agreement to these terms
These Terms of Service ("Terms") govern your use of Vyzrly, a college admissions advisory platform operated by EthicQ ("we," "us," or "our") at vyzrly.com. By creating an account or using the service, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use Vyzrly.
Eligibility
You must be at least 13 years old to use Vyzrly. If you are between 13 and 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
If you are under 13, you may not create an account or use the service. We comply with the Children's Online Privacy Protection Act (COPPA). Parents who believe a child under 13 has created an account should contact us at [email protected] to request immediate deletion.
What Vyzrly is, and is not
Vyzrly is advisory only. We do not guarantee any college admission outcome.
Vyzrly provides AI-generated advisory scores, recommendations, and planning tools to help students understand their college admissions profile. Vyzrly is not a licensed educational counselor, college advisor, or consulting firm.
Our outputs are informational and analytical in nature. They reflect patterns in the data you provide and the models we use. They do not guarantee admission outcomes, represent the views of any university, or replace the judgment of a qualified human counselor.
You are responsible for verifying any information before acting on it and for making your own decisions about college applications.
College admissions are high-stakes, life-impacting decisions, and you entirely assume the risk of relying on automated AI analysis to inform them. AI-generated scores, recommendations, roadmaps, and any other automated outputs are probabilistic estimates that may be incomplete, inaccurate, biased, or outdated. Reliance on Vyzrly in place of qualified human counsel — or as the basis for any application, enrollment, financial, or career decision — is entirely your own judgment and your own risk, and EthicQ disclaims any responsibility for the outcomes of that reliance.
Your account
You sign in using Google OAuth. You are responsible for maintaining the security of your Google account. Notify us at [email protected] immediately if you believe your account has been compromised.
You may not share your account credentials with others or create accounts on behalf of others without their consent.
Acceptable use
You agree not to:
- Submit false, misleading, or fabricated information in the intake form or verification fields.
- Attempt to reverse-engineer, scrape, or extract our scoring models or proprietary data.
- Use automated tools to generate analyses at scale or bypass rate limits.
- Use the platform in any way that violates applicable law.
- Attempt to gain unauthorized access to other users' data or our systems.
- Resell or redistribute platform outputs without our written permission.
Violations of these rules may result in suspension or termination of your account. See the "Termination" section below for the full scope of EthicQ's termination rights.
Termination
EthicQ reserves the right to suspend, disable, or terminate your account or your access to Vyzrly at its sole discretion, at any time, for any reason or for no reason, with or without prior notice and without liability to you.
Reasons for termination may include, without limitation: violation of these Terms; suspected fraudulent, abusive, or unlawful activity; requests by law enforcement or governmental authorities; extended account inactivity; technical or security incidents; or business decisions about the operation, scope, or continued availability of the service.
You may stop using Vyzrly at any time and may request account deletion at [email protected]. Your sole and exclusive remedy for any dissatisfaction with the service is to discontinue use.
Sections of these Terms that by their nature should survive termination — including "Intellectual property", "Disclaimer of warranties", "Limitation of liability", "Indemnification", "Dispute Resolution and Arbitration", and "Governing law" — will continue in full force and effect after your account is terminated.
Observer access
Students may grant observer access to a parent or guardian. Observers agree to use access only for the benefit of the student whose profile is shared, and not to share or redistribute student data with any third party.
Intellectual property
The Vyzrly platform, its scoring methodology, models, design, and software are the intellectual property of EthicQ and are protected by applicable intellectual property laws. You may not copy, reproduce, or create derivative works from any part of the platform without our express written consent.
You retain ownership of the intake data and profile information you provide. By submitting it, you grant us a limited license to process it for the purpose of providing the service.
Third-party services
Vyzrly uses third-party services to operate, including authentication providers, AI infrastructure, verification services, and cloud hosting. Your use of Vyzrly is subject to the applicable terms of those services where your data is processed by them.
We do not share your personal information with third parties for advertising or marketing purposes. Data shared with service providers is limited to what is required to deliver the features you use.
Disclaimer of warranties
Vyzrly is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that any particular analysis output will be accurate or suitable for any specific purpose.
AI-generated content can be incomplete, inaccurate, or outdated. Always verify important information from official sources.
Limitation of liability
To the fullest extent permitted by law, EthicQ and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Vyzrly, including but not limited to college application outcomes.
Our total liability to you for any claim arising out of or relating to these Terms or the service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) $50.
Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless EthicQ, its parents, subsidiaries, affiliates, and their respective officers, directors, employees, agents, contractors, and operators (collectively, the "Indemnified Parties") from and against any and all claims, demands, lawsuits, investigations, damages, liabilities, losses, judgments, settlements, fines, costs, and expenses, including reasonable attorneys' fees and court costs, arising out of or related to:
- Your access to or use of Vyzrly;
- Your violation of these Terms or any applicable law or regulation;
- Your violation of any rights of a third party, including intellectual property, privacy, or contractual rights;
- Any content, information, or material you submit to Vyzrly, including any false, misleading, or fabricated intake or verification data; and
- Your reliance on, or any decision made based on, any AI-generated output, score, recommendation, roadmap, or other analytical result produced by Vyzrly, including without limitation any college admissions, enrollment, financial, or career outcome.
EthicQ reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully in asserting any available defenses. You will not settle any matter for which the Indemnified Parties may be liable without our prior written consent. This indemnification obligation will survive termination of these Terms and your account.
Privacy
Your use of Vyzrly is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
Changes to these terms
We may revise these Terms at any time. When we do, we will update the "Last updated" date. Continued use of the service after changes constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify you by email.
Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES WITH ETHICQ THROUGH BINDING INDIVIDUAL ARBITRATION AND LIMITS YOUR RIGHT TO BRING CLAIMS IN COURT OR AS PART OF A CLASS ACTION.
Binding individual arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, your access to or use of Vyzrly, any AI-generated output, or the relationship between you and EthicQ — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal or equitable theory — must be resolved through binding, confidential, individual arbitration rather than in court, except as expressly provided below.
Class Action Waiver. You and EthicQ each waive any right to bring or participate in a class, consolidated, collective, mass, or representative action or proceeding. The arbitrator may not consolidate or join the claims of more than one person and may award relief only on an individual basis. If a court or arbitrator determines that this Class Action Waiver is unenforceable as to a particular claim, that claim must be severed from the arbitration and brought in the courts identified in the Governing Law section, but the remainder of this Dispute Resolution and Arbitration section will remain in full force.
Arbitration procedure. The arbitration will be administered by JAMS under its Streamlined Arbitration Rules and Procedures (or, if JAMS declines to administer, by the American Arbitration Association under its Consumer Arbitration Rules) by a single neutral arbitrator. The seat of the arbitration will be King County, Washington, though hearings may be conducted remotely if the parties agree. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Exceptions. Either party may bring an individual claim in small-claims court for any dispute that qualifies. Either party may also seek injunctive or equitable relief in court to protect intellectual property rights, prevent unauthorized access to the service, or enforce confidentiality obligations.
30-day right to opt out. You may opt out of this Dispute Resolution and Arbitration section by sending written notice to [email protected] within 30 days of first agreeing to these Terms. The notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.
This Dispute Resolution and Arbitration section is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq., and survives termination of these Terms and your account.
Governing law
These Terms, and any non-arbitrable dispute arising out of or relating to these Terms or your use of Vyzrly, are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to the Dispute Resolution and Arbitration section above, you and EthicQ agree that the exclusive jurisdiction and venue for any necessary court proceedings shall be the state and federal courts located in King County, Washington. Each party irrevocably consents to the personal jurisdiction of those courts and waives any objection based on inconvenient forum.
